LOYALTY PROGRAM TERMS AND CONDITIONS

Scope and Application
These Loyalty Program Terms and Conditions (“Loyalty Terms”) apply to all services related to the rewards program offered on the EA Sports FC Mobile Web Store (the “Web Store”) (the “Loyalty Program”) as offered by Coda Netherlands Holdings B.V. having its registered address at Strawinskylaan 411, WTC, Tower A, 4th Floor, 1077XX Amsterdam (“Coda”, “we”, “us” or “our”) in the United Kingdom and the European Union (the “Territory(ies)”).
Participation in the Loyalty Program is subject to these Loyalty Terms, which apply only to users in the Territories. These Loyalty Terms are effective alongside the Terms of Use, the Terms and Conditions of Sale, and the Privacy Notice (collectively, the “Web Store Terms”), all of which are hereby incorporated herein by reference and govern the use of the Web Store. Unless otherwise specified, all capitalized terms used but not defined herein shall have the meanings set forth in the Web Store Terms.
We may, from time to time, make changes to the Loyalty Program and amend these Loyalty Terms at its sole discretion or as may be required by the applicable laws or regulations, to reflect changes to the Loyalty Program and/or Web Store (as defined in the Web Store Terms), for security purposes, and/or to reflect changes in our business practices or operations. If a change to these Loyalty Terms or the Loyalty Program materially modifies your rights and/or your or our obligations, we will notify you reasonably in advance by posting a notice on the Web Store or by some other reasonable method. We may require you to accept the modified Loyalty Terms to continue to participate in the Loyalty Program. Your continued participation in the Loyalty Program following any changes to the Loyalty Terms and/or Loyalty Program (and, if applicable, the relevant notice period) shall be deemed as your acceptance of the amended Loyalty Terms and/or Loyalty Program.
IF YOU DO NOT AGREE TO THESE LOYALTY TERMS OR THE WEB STORE TERMS, DO NOT PARTICIPATE IN THE LOYALTY PROGRAM.

General Terms
The Loyalty Program allows you to earn Loyalty Points (the “Points”) that can be redeemed for select products, services, or items on the Web Store.

To earn Points, you must be logged in to your EA account using your gaming ID (the “EA Account”) and meet the eligibility requirements set forth herein.

The Points in your EA Account are specific to the Territory where you reside. You may use the Points to redeem the eligible products, services, or items offered on the Web Store in the Territory where you reside. You cannot use your Points to redeem products, services, or items offered on another country’s Web Store.

The Points have no monetary value and do not constitute legal tender. They are non-transferable and intended solely for your personal use. Points may not be resold, traded, gifted, leased, exchanged for cash, applied to any external accounts, offered for sale, refunded or otherwise transferred for value. You may not withdraw your Points as cash or transfer your Points balance between EA Accounts. You may only consume your Points balance by redeeming eligible products and/or services exclusively on the Web Store.

Eligibility and Registration

To begin earning Points, you must sign up using your EA Account.

Coda is entitled to check your identity and request for proof of identification, or refuse your registration when (i) it is required by applicable laws or relevant government authorities to do so as part of anti-money laundering and anti-terrorist funding rules and regulations or for any other legal or regulatory reasons, (ii) unauthorised usage of your EA Account is detected, or (iii) there is a dispute relating to the ownership of your EA Account or Points balance.

In order to participate in the Loyalty Program and use the Points, you represent that:

you are of 18 years or over and you shall comply with the Loyalty Terms and any applicable charges or fees associated with your participation in the Loyalty Program;

if you are under 18, you have obtained the consent of your parent or legal guardian to participate in the Loyalty Program and, by proceeding to participate in the Loyalty Program, such parent or legal guardian will be deemed to have agreed to these Loyalty Terms on your behalf and will be responsible for your participation in the Loyalty Program, including the creation of your EA Account, your acceptance and compliance with the Loyalty Terms, and any applicable charges or fees associated with your use of Loyalty Program;

you are not prohibited by any law, condition, ordinance, or other requirements from using the EA Account or Points; and
-
you are legally capable of accepting, entering into, and being bound by the Loyalty Terms.

We reserve the right to impose authentication requirements at our discretion as deemed necessary to enhance security or address operational needs or as may be required under the applicable laws.

Earning Points

You earn Points (i) each time you make purchases on select products and/or services on Web Store; or (ii) through a non-purchase transaction event such as daily log-in to the Web Store; or (iii) a combination of Points (i) and (ii) above as solely determined by Coda (“Transaction”). The value of the Points will be consistent across all Territories.

If you earn Points through a successful purchase Transaction in which the purchase is eligible for the Loyalty Program, a corresponding number of Points will be credited to your EA Account once that purchase is completed in accordance with clause 4 (d) below.

We reserve the right to declare any item on the Web Store ineligible for earning Points but will only do so if reasonably necessary.

Points corresponding to your Transaction are awarded and credited to your EA Account once that Transaction is completed. A purchase Transaction is deemed completed when payment through your payment channel on the Web Store has been charged or deducted and confirmed and when the item purchased has been delivered to you via your EA Account.

Additionally, we reserve the right to change the terms and conditions for earning Points through any non-purchase Transactions, including but not limited to events such as daily log-ins. These terms and conditions may be updated at our discretion to reflect changes in the Loyalty Program or to meet operational needs.

We reserve the right to revoke any Points credited to your EA Account in the event that:
-
you were successfully refunded for the purchase Transaction through which the Points were earned;
-
Points have been credited to you in error; or
-
we have a reasonable basis to believe that the Points were earned through fraud, abuse, breach or violation of these Loyalty Terms, or the Web Store Terms.

All Points will automatically expire after 45 days from the date on which they are earned. You are responsible for checking the expiration date of your Points. You understand and accept that any Points that remain unredeemed by the expiration date shall be deducted from your EA Account and shall no longer be usable.

We reserve the right to impose a limit on the value of Points stored in your EA Account or specify transaction limits on the amount of Points earned. This could be due to limitations imposed by the payment channels or relevant monetary authorities, central bank, the relevant regulator in your jurisdiction. If a limit is imposed, this will be communicated in the Web Store Terms.

Redeeming Points

Once Points are credited to your EA Account (and subject always to our right to deduct Points as set out in Section 4 (f) above), you may use them to redeem available eligible products, services or items on the Web Store. These eligible products, services, or items can only be redeemed with your Points at the value consistent with the Territory and not with fiat currency.

We reserve the right to declare any product, service, or item on the Web Store ineligible for redemption of Points but will only do so if reasonably necessary.

Subject to redemption eligibility as described in Sections 5 (a) and (b) above, you may make purchases of items on the Web Store in exchange for Points only. No further Points will be earned on purchases made using only Points.

Points redeemed will not be deducted from your Points balance until the exchange transaction on the Web Store is confirmed successful.

Loyalty and Benefits

We may determine any additional rewards, benefits, bonuses, events, and promotions that you may be eligible to receive or participate in if you use the Points to exchange for items on the Web Store.

These Loyalty Terms shall apply to any Points that may be earned or awarded through such rewards, benefits, bonuses, events, and promotions. However, Coda may impose other rules as they deem fit, and such rules will be posted on the sites or other platforms as we may determine. We encourage you to read the applicable rules and review our Privacy Notice, which, in addition to these Loyalty Terms, applies to any information you submit in connection with the rewards, benefits, bonuses, events and promotions.

If Coda discontinues the Loyalty Program at any time, you will not be eligible to request and receive any further Points, whether by way of set-off or otherwise, save for any Points which you are already entitled to receive through the circumstances under Section 4. In the event of Loyalty Program termination or discontinuation, you will receive a 30-day prior notice (unless prevented from doing so for reasons beyond its reasonable control) to redeem your already accrued Points. We assume no responsibility for any Points not redeemed by the end of the notice period. Any Points earned in your EA Account shall be subject to Section 10 herein.

Account Security

You are solely responsible for the security of your EA Account and any consequences resulting from the use or misuse of your EA Account, PIN, OTP or other related security credentials. This includes safeguarding your login details and keeping your account information private. Any lost or stolen accounts are entirely your responsibility.

You agree that the use or purported use of Points through your EA Account shall be deemed an authorised use of Points via your EA Account. You agree to be bound by these Loyalty Terms for all transactions made under your EA Account.

If there is or has been any fraudulent or unauthorised use of your login details or EA account, loss of account access, or any other breach of security, you agree to immediately notify us by contacting us through our Help Center. As soon as reasonably practicable, we will suspend your EA Account, investigate your issue, and provide a response. However, Coda is not responsible for any unauthorised use of your EA Account (or for any losses or other consequences arising from such use) save only where such unauthorised use arises from Coda’s failure to exercise reasonable care and skill..

Restricted Activities

By participating in the Loyalty Program, you agree that you will not, directly or indirectly, engage in any conduct that breaches or violates the Web Store Terms or these Loyalty Terms, or any of the following restricted activities:

Engage in any conduct that breaches Coda’s acceptable use restrictions and/ or any of the Webstore Terms. You understand that the list of use restrictions is not exhaustive, and acts those that are in some other way unlawful, fraudulent, abusive, inappropriate, unreasonable or damaging, are also prohibited;

use the Loyalty Program, the Points, or any of their features in any way not expressly permitted by Coda, including but not limited to abuse or fraudulent use;
-
share your EA Account details, PIN, or OTP with any other persons;
-
reproduce, attempt to reproduce, or counterfeit Points or your Points balance;
-
interfere with functioning of or disrupt the Loyalty Program in any manner;
-
use the Points in any activity involving sanctioned individuals, entities, or countries;
-
violate any applicable law, ordinance, or regulation, rule, code, directive, guideline, or policy through your use of the Points or your participation in the Loyalty Program;
-
use your EA Account or control an EA Account that is engaging in any of the foregoing restricted activities; or
-
Otherwise materially breach these Loyalty Terms.

Any violation of the above will result in immediate forfeiture of your Points, and result in the suspension or termination of your EA Account.

We reserve the right to take legal action or claim against you concerning any breach of these Loyalty Terms.

Additional Grounds for Closure or Freezing of EA Account
Coda may permanently close or temporarily freeze your EA Account or your access to it under the following circumstances:

for the same grounds stated in the Web Store Terms,
-
for engaging in the restricted conduct identified in the preceding section and/or breaching these Loyalty Terms in some other material or repeated way, or
-
for any of the following: (i) it is necessary to repair, maintain, or improve the functions of the Loyalty Program or the Points; or (ii) Coda decides to cease offering the Loyalty Program or the Points.

Points Balance After Closure
Unless otherwise provided in these Loyalty Terms, if your EA Account is permanently closed on the Web Store, whether by Coda or by you voluntarily, all unused Points balance will immediately expire and be removed. You acknowledge and agree that you will not be entitled to any compensation, and Coda will not be liable to you for any loss of your Points balance.

No Warranties or Limitation of Liability
The Loyalty Program is provided on an ‘as is’ basis without any warranties, express or implied. Coda will not be liable for any direct, indirect, incidental, or consequential damages arising out of or in connection with the Loyalty Program or Points, including but not limited to loss of Points unless the loss of Points are due to reasons attributable to Coda.

Additional Country-Specific Terms
In addition to the Loyalty Terms, country-specific terms may apply to users residing in certain Territories, depending on their specific requirements. These country-specific terms will take precedence over the Loyalty Terms, where applicable.
